3. Registration Information

does not provide or make any representation as to the quality or nature of any
of the third party products or services purchased through the JobCopilot’s
website or any other representation, warranty or guaranty. Any such
undertaking, representation, warranty or guaranty would be furnished solely by
the provider of the applicable class, or learning material, product or service,
under the terms agreed to by the provider.
4. User Content & Submissions
As a user, you are solely responsible
for your JobCopilot’s account information, content, messages or other
information (“User Content”) that you submit, publish or display on the JobCopilot’s website. By posting User Content to any
public or non-public area of the JobCopilot’s website, including message
boards, forums, contests and chat rooms, if any, you grant JobCopilot and its
parent company and affiliates a royalty-free, perpetual, irrevocable,
sublicenseable (through multiple tiers), non-exclusive right (including any
moral rights) worldwide license to use, reproduce, modify, adapt, publish,
translate, create derivative works from, distribute, communicate to the public,
display, perform and distribute such User Content (in whole or in part)
worldwide and/or to incorporate it in other works in any form, media, or
technology now known or later developed, for the full term of any rights that
may exist in such User Content, and to grant and authorize sublicenses thereof.
You also warrant that the holder of any rights, including moral rights in such
content, has completely and effectively waived all such rights and validly and
irrevocably granted to you the right to grant the license stated above. You
also permit any user to access, display, view, store and reproduce such User
Content for personal use. Subject to the foregoing, the owner of such User
Content placed on the JobCopilot’s website retains any and all rights that may
exist in such User Content. JobCopilot acts as a passive conduit for the online
distribution and publication of the User Content and has no obligation to
screen communications in advance and is not responsible for screening or
monitoring material posted by users. However, JobCopilot
may review and delete any User Content that, in the sole judgment of JobCopilot,
violates these Terms of Use, violates applicable law, rule or regulation, is
offensive or illegal or violates the rights of, harms or threatens the safety
users of the JobCopilot’s website.
5. Registration & Password
You are solely responsible for
maintaining the confidentiality of your account access information and
password. You shall be responsible for all uses of your registration, whether
or not authorised by you. You are not authorized to share your password or
other account access information with any other party, temporarily or
permanently, and breach of this obligation may be tantamount to disabling your JobCopilot’s
account and JobCopilot services. You agree to immediately notify JobCopilot of
any unauthorised use of your JobCopilot’s account and password.
6. Additional terms applicable to Job
Seekers
When you register with the JobCopilot’s
website, you will be asked to create an account and provide JobCopilot with
certain information including, without limitation, a valid email address (Your
“Information”). Any profile you submit must be accurate and describe you, an
individual person. The profile requires standard fields to be completed such as
telephone numbers, street addresses, email addresses or other means of
contacting you. You acknowledge and agree that you are solely responsible for
the form, content and accuracy of any resume or material contained therein
placed by you on the JobCopilot’s website. JobCopilot reserves the right to
offer third party services and products to you based on the preferences that you
identify in your registration and at any time thereafter or you have agreed to
receive, such offers may be made by JobCopilot, its affiliates or any third
parties. Please see JobCopilot’s Privacy Policy for further details regarding your
Information. You understand and acknowledge that you have no ownership rights
in your account and that if you cancel your JobCopilot account or your JobCopilot
account is terminated, all your account information from JobCopilot, including
resumes, profiles, cover letters, saved jobs, questionnaires will be marked as
deleted and may be deleted from JobCopilot’s databases and will be removed from
any public area of the JobCopilot’s website. Information may continue to be
available for some period of time because of delays in propagating such
deletion through JobCopilot’s web servers. In addition, third parties may
retain saved copies of your Information.
7. Disclaimer
The materials on JobCopilot’s website
are provided on an ‘as is’ basis without any warranties of any kind. JobCopilot,
to the fullest extent permitted by law, makes no warranties, expressed or
implied, and hereby disclaims and negates all other warranties including,
without limitation, implied warranties or conditions of merchantability,
fitness for a particular purpose, or non-infringement of intellectual property
or other violation of rights. Further, JobCopilot does not warrant or make any
representations concerning the accuracy, likely results, reliability, completeness
or timeliness of the materials, services, software, text, graphics and links on
its website or otherwise relating to any sites linked to the JobCopilot’s
website.
JobCopilot
does not provide or make any representation as to the
quality or nature of any of the third party products or services purchased
through the JobCopilot’s website, or any other representation, warranty or
guaranty. Any such undertaking, representation, warranty or guaranty would be
furnished solely by the provider of such third party products or services,

these Terms, JobCopilot may in its sole discretion investigate the allegation

has no liability or responsibility to users for performance or nonperformance

8. JobCopilot’s Liability
JobCopilot acts as, among other
things, a venue for candidates to post resumes and profiles and apply for job
opportunities. JobCopilot does not screen or censor the listings including profiles
offered. JobCopilot is not involved in the actual transaction between employers
and candidates. JobCopilot is not involved in the actual transaction between employers
and candidates. As a result, JobCopilot is not responsible for User Content,
the quality, safety or legality of the jobs or resumes posted, the truth or
accuracy of the listings, the ability of employers to offer job opportunities
to candidates or the ability of candidates to fill job openings and JobCopilot makes
no representations about any jobs, resumes or User Content on the JobCopilot’s website. While JobCopilot reserves
the right in its sole discretion to remove User Content, job postings, resumes
or other material from the JobCopilot’s website from
time to time, JobCopilot does not assume any obligation to do so and to the
extent permitted by law, disclaims any liability for failing to take any such
action. In addition, please note that there are risks, including but not
limited to the risk of physical harm, of dealing with strangers, foreign
nationals, underage persons or people acting under false identities. You assume
all risks associated with dealing with other users with whom you come in
contact through the JobCopilot’s website. By its very nature, other people’s
information may be offensive, harmful or inaccurate, and in some cases may be

You agree to defend, indemnify, and
hold harmless JobCopilot, its affiliates and their respective officers,
directors, employees, representatives and agents, from and against any claims,
actions or demands, including without limitation reasonable legal and
accounting fees, alleging or resulting, directly or indirectly, from any of the
User Content or other material you provide to the JobCopilot’s website or your
use of the materials or your breach of these Terms of Use. JobCopilot shall
provide notice to you promptly of any such claim, suit, or proceeding.
14. Modifications
JobCopilot may revise these terms of
service for its website at any time without notice. By using this website you
are agreeing to be bound by the then current version of these terms of service.
15. Governing Law
These terms and conditions are subject
to, governed by and construed in accordance with the laws (statutory or
otherwise) of the Republic of Singapore, which are the proper laws hereof,
notwithstanding any rules of private international law or choice of law under
which any other law might otherwise be applicable. If any individual term or
provision of these terms and conditions violates such policy or principles so
as to be invalid or unenforceable, the laws of the Republic of Singapore shall
apply to the remainder of these terms and conditions and the remainder shall
remain in full force and effect unless any such individual term or provision is
so material to the intent and purpose of these terms and conditions that these
terms and conditions should terminate.
16. Dispute resolution
All disputes, claims or controversies
arising out of or in connection with these terms and conditions will be
submitted to and finally resolved by arbitration in accordance with the
Arbitration Rules of the Singapore International Arbitration Centre (“SIAC”)
that are in force at the beginning of the arbitration (“SIAC Rules”) and shall
be administered by that organization. Any award rendered by the arbitration
tribunal shall be final and binding upon each party. The seat of the
arbitration shall be Singapore.
The arbitration panel shall be
comprised of three (3) arbitrators who shall have experience of the jobtech or
AI space and have no material social, business or other relationship with any
party. Each of the parties shall have the right to select one arbitrator, and
the third arbitrator (to be the chairperson) shall be selected by the initial
two arbitrators or, if the two arbitrators cannot reach an agreement within
thirty (30) days, by the SIAC.
The arbitration tribunal shall
determine how the expenses of the arbitration are to be allocated between the
parties and whether either party is entitled to recover any other costs
expended with respect to its participation in the proceedings. This allocation
of costs shall be final and binding, except for clerical or manifest error.
The hearings shall be conducted, and
all written materials shall be presented, in English.
The arbitrators’ decision will be by
majority vote, issued in writing, contain findings of fact and reasons for the
decision, and signed. The arbitrators’ decision will be final, conclusive and
binding upon the parties, except for clerical or manifest error, and may be
enforced in any court having jurisdiction.
The arbitrators will (i) determine
whether this agreement to arbitrate is binding and whether a particular dispute
is subject to arbitration under these terms and conditions, (ii) take measures
to protect trade secrets and confidential and proprietary system information
and (iii) have no power to award punitive damages.
Notwithstanding anything to the
contrary contained in this clause, if so permitted by the SIAC Rules, each
party reserves the right to file an application with the SIAC for the arbitral
proceedings to be conducted in accordance with the rules and procedures for the
expedited procedure set forth in the SIAC Rules (“Expedited Procedure”), in
which case the parties agree that the Expedited Procedure shall apply and
prevail.
The
parties will act at all times to facilitate the efficient and expeditious
resolution of any dispute submitted to arbitration. The arbitrators are
directed to make orders on their own initiative or upon the application of
either party to accomplish this objective.
